1. Agreement
By creating an account, accessing a workspace or using D3 Seller, you agree to these Terms and the Privacy Policy. If you use D3 Seller for a company, you confirm that you are authorized to accept these Terms for that company.
2. Service
D3 Seller provides software for marketplace connection, product, order, inventory, purchasing, fulfilment, costing, settlement, accounting review and reporting workflows. Feature availability may depend on the plan, marketplace authorization, country, external API availability and account configuration.
3. Accounts and access
You must provide accurate account information, protect credentials, use appropriate roles and promptly remove users who no longer require access. You are responsible for activity performed through your workspace unless caused by D3 Seller's breach.
4. Marketplace authorization
You authorize D3 Seller to access and process Amazon or Noon information only within the permissions you grant. You must have the right to connect each seller account and comply with the marketplace's terms, policies and API requirements. You may revoke a connection through the marketplace or with support assistance.
5. Acceptable use
You may not probe or disrupt the service, bypass access controls, upload malicious content, use another seller's credentials, access data you are not authorized to view, violate marketplace restrictions, resell access without agreement or use the service for unlawful activity.
6. Customer data
You retain ownership of your business and marketplace data. You grant D3 Seller the limited right to process it to provide, secure, support and improve the service. We do not sell marketplace information or use buyer PII for advertising.
7. Plans, fees and taxes
Plan prices, billing intervals, limits and included features are shown at purchase or in an order form. Fees are exclusive of applicable taxes unless stated otherwise. Annual pricing and any commercial discount must be confirmed in writing.
8. Third-party services
Amazon, Noon, email, infrastructure and other third-party services operate independently. D3 Seller is not responsible for their downtime, policy changes, delayed data, revoked authorization or API limits, but will use reasonable efforts to surface connection status and recover supported workflows.
9. Financial and tax information
D3 Seller provides operational and accounting-support software, not legal, tax, audit or regulated financial advice. Reports and calculations should be reviewed by qualified professionals before filing, posting or making material decisions.
10. Confidentiality and security
Each party will protect confidential information using reasonable care and use it only for the relationship. D3 Seller applies the controls described on the Security page, but no system is guaranteed to be error-free or continuously available.
11. Intellectual property
D3 Seller and its software, design, documentation and brand remain the property of D3 Seller and its licensors. Amazon and Noon marks belong to their respective owners and are shown only to identify supported marketplace connections.
12. Suspension and termination
Access may be limited or suspended for security risk, unlawful use, material breach, unpaid fees or marketplace authorization problems. On termination, data handling follows the Privacy Policy and any agreed export or retention terms.
13. Warranties and liability
The service is provided on an as-available basis to the extent permitted by law. Neither party is liable for indirect, incidental or consequential loss except where liability cannot legally be excluded. Any negotiated order form may define different warranty or liability terms.
14. Changes
We may update these Terms for product, legal or marketplace changes. Material updates will be communicated through an appropriate account or website notice.
